MILAN, ITALY — Amplifon S.p.A., a global provider of hearing care solutions, has announced a series of developments this month, including confirmation of its leadership, approval of 2024 financial statements, and recognition for its climate efforts.
Leadership and Governance Confirmed Following Shareholder Meeting
Following the shareholders’ meeting on April 23, the newly appointed Board of Directors met to confirm the company’s leadership and governance structure. Susan Carol Holland was reconfirmed as Chairperson of the Board in a non-executive role, while Enrico Vita continues as Chief Executive Officer. The confirmation was among the first actions of the newly elected board, which will remain in place until the shareholders’ meeting to approve the 2026 financial statements.
The Board also appointed chairs for its key internal committees: Maurizio Costa (Remuneration and Appointments Committee), Lorenzo Pozza (Risk, Control and Sustainability Committee), and Nicola Bedin (Related Parties Transactions Committee). Pozza was also named Lead Independent Director and will chair the Supervisory Body, which includes Nicola Bedin and Laura Ferrara, Chief Internal Audit & Risk Management Officer.
The Board of Directors acknowledged that the independence requirements outlined by the Corporate Governance Code were met. In particular, the continued independence of certain directors—serving for over nine years—was confirmed based on their consistent professionalism and autonomy of judgment.
Financial Results Approved and Climate Recognition Received
During the same meeting, Amplifon shareholders approved the company’s 2024 financial statements. While the company did not issue specific earnings figures in the announcement, the approval confirmed alignment with Italian regulations and corporate policy.
Shareholders also approved the distribution of a dividend of 30 euro cents per share. The dividend will be payable starting April 24, with the record date on April 23. The ex-dividend date was set for April 22.
In addition to governance and financial matters, Amplifon announced it has been included for the second consecutive year in the Financial Times and Statista list of Europe’s Climate Leaders 2025. The list highlights companies that have achieved the greatest reduction in greenhouse gas emissions intensity (Scope 1 and 2) between 2017 and 2022, while also evaluating the quality of their climate disclosures.
In a statement released by the company, Amplifon noted that this recognition “testifies to the strong commitment of the company to sustainability, one of the three pillars of the Amplifon ESG strategy, which is integrated into the business strategy and monitored by the Board of Directors through the Risk, Control and Sustainability Committee.”
The climate recognition follows prior acknowledgment of Amplifon’s environmental efforts, which are reported through both its Sustainability Report and CDP (formerly Carbon Disclosure Project) submissions.
